Terms of Service

1. Agreement to Terms
In short: This is an agreement between you and Ayrvon LLC, the US company that operates Landara. Using the Service means you accept these terms; if you do not agree, you cannot use it.
By accessing or using Landara ("the Service"), operated by Ayrvon LLC, a Wyoming limited liability company doing business as Landara ("we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service.
The Service is available at landara.co and app.landara.co, including all related APIs and integrations.
2. Description of Service
In short: Landara reads your import documents with AI, works out landed costs and COGS, and pushes the results to your accounting software and Shopify.
Landara is an AI-powered document capture and landed cost calculation platform for import operations. The Service allows you to:
- Upload and process purchase orders and freight invoices using AI extraction
- Calculate per-unit landed costs with cost allocation
- Publish documents to accounting software (Xero, QuickBooks Online)
- Sync product costs to Shopify
- Calculate cost of goods sold (COGS) from Shopify order and fulfilment data
- Export data to CSV, Google Sheets, and PDF
3. Account Registration
In short: Give us accurate details, keep your password safe, and tell us if someone else gets into your account. You must be 18 or older.
To use the Service, you must create an account. You agree to:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
You must be at least 18 years old to create an account.
4. Subscriptions and Billing
In short: Paid plans are billed monthly or yearly through the Shopify App Store at a flat rate, with no per-seat charges. Shopify handles the actual payments.
Landara offers free and paid subscription plans. Paid plans are billed at a flat rate through the Shopify App Store, monthly or yearly at your choice, with no per-seat charges.
- Free plan: a limited number of costed shipments each calendar month, no posting of journals to your accounting software, and the other limits described on our pricing page.
- Paid plans: unlimited costed shipments, additional integrations, and the features and limits described on our pricing page.
Plans are banded by the number of Shopify orders Landara costs for you in a calendar month. The allowance for each plan is the one shown on our pricing page at the time. Order counts are measured in your reporting timezone, independently of your billing date, so a monthly and an annual subscriber are measured the same way.
- We never stop costing your orders. Whatever plan you are on, and however far above your allowance you go, we keep recording and costing every order and fulfilment your store reports. A gap in a first-in, first-out ledger makes every later figure wrong, so we do not create one.
- Sustained volume above your allowance may require an upgrade to keep posting journals. Where your average monthly order volume over the preceding complete months is above the allowance for your plan, we may decline to post new journals to your accounting software until you move to a plan that covers your volume.
- Your figures, workings, reports and exports are never withheld. This applies on every plan and after cancellation. What an allowance can affect is whether Landara posts an entry into your accounting software for you, never whether you can see, check or export your own numbers.
- We may apply reasonable rate limits to document extraction, calculations and other resource-intensive features, to keep the Service available to everyone.
- We may change plans, allowances and prices on reasonable notice. Where a change increases what you pay, Shopify will ask you to approve the new charge before it takes effect, and you may cancel instead.
- The free plan may be changed, limited or withdrawn on reasonable notice. If we withdraw it, you will be able to export your data before any change to your access.
All payments are processed through the Shopify App Store. Shopify handles billing, payment processing, and invoicing for the Landara app as part of your Shopify account. By subscribing, you also agree to Shopify's terms of service.
5. Cancellation and Refunds
In short: Cancel any time; you keep access until the end of the billing period. Unused subscriptions can be refunded within 14 days.
Please see our Refund Policy for full details on cancellations and refunds. In summary:
- You may cancel your subscription at any time from your account settings.
- Cancellations take effect at the end of the current billing period.
- Refunds are available within 14 days of initial subscription or renewal if you have not used the Service during that period.
6. Acceptable Use
In short: Use Landara lawfully, and don't try to break, abuse, scrape or resell it.
You agree not to:
- Use the Service for any unlawful purpose
- Upload malicious files, malware, or content designed to disrupt the Service
- Attempt to gain unauthorized access to other accounts or systems
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Use automated tools to scrape, crawl, or collect data from the Service
- Resell or redistribute the Service without our written consent
- Exceed usage limits through circumvention or abuse
7. Your Data and Documents
In short: Your documents and store data stay yours. We only process them to run the Service, we never sell them or train AI models on them, and we delete them when you leave. Support may access your account to fix problems, and that access is logged.
You retain ownership of all documents and data you upload to Landara. By uploading content, you grant us a limited licence to process, store, and transmit your data solely for the purpose of providing the Service.
We process your documents using third-party AI services as described in our Privacy Policy. By using the Service, you consent to this processing.
You are responsible for ensuring you have the right to upload and process the documents you submit.
Support access. Our support team may access your account and its data when needed to investigate or resolve a problem you have reported or that we have detected, including viewing the Service as your account sees it. This access is used only for troubleshooting and support, is limited to what the issue requires, and every instance is logged.
Merchant store data and data protection. When you connect a store or accounting platform (including Shopify), Landara may process personal data contained in that platform's records (such as order data) solely as a data processor acting on your instructions to provide the Service. You remain the controller of that data. We: (a) process it only to provide the Service and for no other purpose; (b) do not sell it, or use it for advertising or AI model training; (c) apply the security measures described in our Privacy Policy, including encryption in transit and at rest; (d) engage only the sub-processors listed in our Privacy Policy; (e) delete it when you uninstall the app, close your account, or on request; and (f) will tell you without undue delay if we become aware of a security breach affecting it. We may add or change a sub-processor, and will update the list in our Privacy Policy when we do. This section, together with our Privacy Policy, forms our data protection agreement with you.
How long we keep things. While your account is open we keep your cost ledger, cost layers, documents, journals and reports, so that your history stays traceable for as long as you need it. Raw records we receive from connected platforms, which can contain personal data we do not use, are kept only briefly and then erased automatically. Our Privacy Policy sets out the periods.
Export before you leave. Cancelling a paid plan is not the same as uninstalling the app or closing your account. Cancelling moves you to the free plan and your data remains available. Uninstalling or closing your account causes your data to be deleted, and reinstalling does not bring it back. You can export your complete ledger, workings and history at any time, on any plan, and you should do so before uninstalling or closing your account.
Backups. Deleted data may persist for a short period in encrypted backups taken before deletion, and is removed as those backups age out on their ordinary cycle. We may also retain records where the law requires us to.
8. Third-Party Integrations
In short: Connecting Xero, QuickBooks, Shopify or Google Sheets lets us act on your behalf there. Those platforms have their own terms, and we aren't responsible for their outages or errors.
The Service integrates with third-party platforms including Xero, QuickBooks Online, Shopify, and Google Sheets. When you connect these services:
- You authorise Landara to access and modify data in those platforms on your behalf
- You are responsible for maintaining valid connections and credentials
- We are not responsible for errors, data loss, or service interruptions caused by third-party platforms
- Third-party services are governed by their own terms and privacy policies
- A platform may change, restrict or withdraw the interfaces we depend on, or limit how often we may call them. Where that happens we will make reasonable efforts to adapt, but a feature may have to change or be withdrawn as a result
Keeping the ledger complete. Landara costs the inventory movements your store reports to us. Those reports reach us as messages from your platform, and a message can be delayed, duplicated or, occasionally, never arrive, whether because of an outage on their side, an outage on ours, or a store that was disconnected for a period.
- We design for it. Messages are recorded so that a repeat is not double counted, failures are retried, and we provide tools to backfill a period and to reconcile what Landara holds against what your store holds.
- We will make reasonable efforts to detect and fill gaps that we become aware of, including on request.
- Reconcile before you rely on a period. You are responsible for checking that the orders and fulfilments Landara has costed for a period match your store before you post, present or file figures for it. Landara provides the reports to do this.
- Where data never reached us, we cannot cost it. We are not responsible for a cost of goods sold figure that is understated or overstated because inventory movements were not delivered to us, were delivered after you closed a period, or occurred while your store was disconnected.
9. AI-Generated Results
In short: AI extraction is good but not perfect. Review the numbers before you publish them; Landara is a tool, not an accountant.
Landara uses AI to extract data from documents and classify costs. While we strive for accuracy:
- AI extraction results should always be reviewed before use
- We provide confidence scores to help you assess extraction quality
- You are responsible for verifying the accuracy of extracted data before publishing to accounting software
- We do not guarantee 100% accuracy of AI extractions
Landara is a tool to assist with landed cost calculations. It is not a substitute for professional accounting or tax advice.
10. The Figures We Calculate
In short: Check the numbers before you post or file them. Landara computes your COGS, valuation and journals from what you and Shopify give it, but your books and your tax returns remain yours.
Landara calculates cost of goods sold, inventory valuation, realized margin, cost layers and the journals you post to your accounting software. These figures are produced from the documents you upload, the settings you choose, and the order and fulfilment data your connected platforms report to us.
- Review before you rely. You are responsible for checking any figure Landara produces before posting it to your accounting software, presenting it in your accounts, or using it in a tax or regulatory filing.
- Landara is not your book of record. Your accounting software holds your books. Landara calculates figures for you to post into them, and every posting is an action you or a member of your organization takes.
- Your inputs drive the outputs. Costs, allocations, opening balances, supplier codes and reporting settings are yours to set. Where those are wrong or incomplete, the figures calculated from them will be too.
- Some settings restate earlier periods. Your reporting timezone determines which accounting month a movement falls in and is applied whenever figures are recalculated, so changing it moves history rather than only what follows. Editing a cost layer, an opening balance or a supplier mapping can likewise change figures for periods already reported.
- We are not a substitute for professional advice. Nothing Landara produces is accounting, tax, audit or legal advice, and your accountant remains responsible for your accounts.
Corrections. Landara is software, and software has defects. If we find one that affects figures already calculated, we will correct it and, where we reasonably can, tell affected customers what changed and over what period.
- Corrections are applied going forward. Where a figure you have already posted turns out to be wrong, the remedy in Landara is a correcting entry from the point of discovery. We do not alter or re-post entries that are already in your accounting software, because they are in your ledger and not ours.
- Filings already made remain your responsibility. We are not responsible for the cost or consequences of amending a return, a filing or a set of accounts prepared using a figure that is later corrected. If this matters to you, verify figures before filing, which is what the review obligation above asks for.
- Your history stays available. The underlying movements, cost layers, workings and audit trail remain visible and exportable so that any figure can be traced and, if necessary, restated.
11. Organizations and Team Access
In short: Everyone in your organization shares its data. Owners and admins manage members and billing, and the owner is responsible for the team.
When you create or join an organization:
- Organization owners and admins can manage members, connections, and billing
- Data within an organization (documents, calculations, connections) is shared among all members
- Removing a member revokes their access to organization data
- The organization owner is responsible for the actions of all members
12. Intellectual Property
In short: Landara owns the Service and its branding. Please don't copy them.
The Service, including its design, code, features, and documentation, is owned by Ayrvon LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service.
The Landara name, logo, and branding are trademarks of Ayrvon LLC. You may not use them without our prior written consent.
Feedback. If you send us suggestions, feature requests or other feedback about the Service, we may use it to improve Landara without obligation or payment to you. This does not give us any rights in your data or documents.
13. Limitation of Liability
In short: The Service comes as is. If something goes wrong, our liability is capped at what you paid us in the last 12 months.
To the maximum extent permitted by law:
- The Service is provided "as is" without warranties of any kind
- We are not liable for any indirect, incidental, or consequential damages
- Our total liability is limited to the amount you paid for the Service in the 12 months preceding the claim
- We are not responsible for losses arising from inaccurate AI extractions, incorrect calculations, or errors in data published to third-party platforms
14. Service Availability
In short: We aim for reliable uptime but do not offer a service level agreement, and we'll give reasonable notice of planned maintenance or major changes.
We aim to provide reliable service but do not guarantee uninterrupted access. We may perform maintenance, updates, or experience downtime. We will make reasonable efforts to notify you of planned maintenance in advance. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice, which for the withdrawal of a feature you rely on means at least 30 days unless a security or legal issue requires us to act sooner.
No service level agreement. We do not commit to an uptime percentage, a support response time, or service credits, and none are offered under these Terms. If you need a contractual service level, contact us at hello@landara.co to discuss separate arrangements.
Preview features. We may label a feature as beta, preview or early access. Those are provided as is, may change or be withdrawn without notice, and the warranties and commitments in these Terms do not apply to them.
15. Termination
In short: We can suspend accounts that break these terms, and you can delete yours whenever you like. Export your data first: deletion is permanent and reinstalling does not bring it back.
We may suspend or terminate your account if you violate these Terms. You may delete your account at any time. Upon termination:
- Your access to the Service will be revoked
- Your data will be deleted, as described in our Privacy Policy. Deletion begins promptly and completes within 30 days, and is sooner where a connected platform requires it. Where you uninstall a Shopify store, Shopify requires us to erase the data for that store within 48 hours of their erasure request
- Deletion is permanent. Your cost ledger, cost layers, documents and journal history cannot be restored, and reinstalling the app does not bring them back. Export what you need first
- Any remaining subscription period is non-refundable unless required by law
16. Changes to These Terms
In short: If we change these terms in a meaningful way we'll tell you. Continuing to use Landara means you accept the new version.
We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
17. Governing Law
In short: Wyoming (US) law applies.
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction of those courts.
18. General
In short: The usual contract housekeeping: if one clause fails the rest still stands, we can transfer the agreement if the business is sold, and events outside our control are not a breach.
- Severability. If any provision of these Terms is held to be unenforceable, it will be limited or removed to the minimum extent necessary and the remaining provisions will continue in full force.
- Entire agreement. These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and us about the Service, and replace any earlier understanding about it.
- No waiver. If we do not enforce a right under these Terms on one occasion, that is not a waiver of that right.
- Survival. The sections covering your data, the figures we calculate, intellectual property, limitation of liability, termination and governing law survive the end of this agreement.
- Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours to an affiliate, or in connection with a merger, acquisition or sale of the business, provided the recipient is bound by terms at least as protective of you.
- Force majeure. Neither party is liable for a failure to perform caused by events beyond its reasonable control, including outages at hosting or platform providers, network failures, natural events, or acts of government.
- Your indemnity. You agree to cover us against third-party claims arising from the content you upload, your use of the Service in breach of these Terms, or your breach of law, except to the extent the claim is caused by us.
- Notices. We give notice by email to your account address or through the Service. You give notice to us at legal@landara.co.
